There is no way to make the mp3 file smaller while maintaining quality. However, you can try encoding the mp3 into other formats such as m4a, which has better compression. For a free converter to convert to m4a and many other formats, try SUPER. http://www.erightsoft.com/SUPER.html

There's no direct way to reduce the size of an MP3 file (it's already compressed as much as possible, according to its algorithms, anyway).
However, it could be decoded and re-encoded at a lower bitrate (with a loss of quality).
Another, simpler way is to resample the source wave at a lower sampling rate.
CD Audio is 44 KHz/16-bit stereo; most material comes at that sampling rate.
Resampling to 22 KHz would yield a file twice as small, which could then be encoded at lower bitrates (64-96 kbps, even 32 kbps, which still isn't so bad for a ringtone).
Most phones' speakers are very limited anyway, the K310 here only plays up to 16 KHz sampling rate.
Many audio players can write an output file to disk while resampling it: Winamp, Foobar2000, XMPlay, etc. On the Mac side, ITunes could convert a file to .wav, which could then be edited by Audacity or somesuch.
Some free editors are Audacity (cross-platform), Goldwave (http://www.goldwave.com) - though that one's shareware, lots of free ones for Linux (obviously), there might be tryout versions of the larger commercial editors.
Out of MP3 encoders one of the best is free, LAME, and it is cross-platform as well (actually Audacity worked with it, suggesting a download of the library). LAME can also decode MP3 files to waves.

But it impossible compress MP3 without affecting the quality of the song.
just use nero wave editor :) and select encder mp3 pro and for bitrate select constant bitrate and 64bits/32KHz it reduces a mp3 of 3Mb to 1Mb and the quality is good... also you can use the equalizer or add some effets like raise volume a lil reverb... it sounds good on the phone

Cooledit Pro has been taken over by Adobe, and is now known as "Adobe Audition", but it is not free any longer. There might still be older shareware (2.x, 1.2) versions of Cooledit on the 'net.

I recommend Audacity as well. Since it's just a ringtone and not a song it doesn't have to be in stereo so make sure you choose mono for the output file.

I am surprised none of you recommended dbPowerAmp. Test it and you might find it useful for sound conversion. Please note that you may have to download some codecs before the file conversion (depending on the format you want to convert to), easy task nonetheless -- the link to the codecs central is on the download page.
As previously suggested, convert your mp3 to mono reduces the size.
I would suggest re-encode to a bitrate of 64kps and leave it at 44.1khz, because I tried to reencoded and resample to a lower rate, then i cranked up the volume real high while playing the ringtone, the sound starts to fizzle.
Anyways, depending on your phone, you could experiment a bit :P

I second Marcil's vote for dbPowerAmp. It is pretty painless to use.
Converting the MP3 to Mono to reduce the size of the mp3 is a good suggestion too :)

wait,i have my own version,i know dietmp3 its nice,but a bit slow,im using 2 else, 1,its goldwave,with it you can change the volume,esqualizer,noise,cute,and paste,and reduce bitrate without lost quality,i mean reduce just weight,untill 32k with joint stereo. and 2,RAZORLAME WITH LAME ,hey you have to try it,and if you just wanna make noise get MP3GAIN ,after to reduce bitrate you can increase decibeles without gain weight,hope work with yours

125KB? are you sure?! is that the whole song?! forgive but i just cant imagine an mp3 that small in size can play good music.... well i guess if its a message tone why not.
