    Cooledit Pro has been taken over by Adobe, and is now known as "Adobe Audition", but it is not free any longer. There might still be older shareware (2.x, 1.2) versions of Cooledit on the 'net.

    I have Cooledit Pro v2.0 cracked, use it long time and very glad :D

    i use total video converter for all audio and video conversion. one of the best. you can edit the bitrate normally a 64kbps is good enought

    I use Xillisoft 3GP Converter...naturally for coding mpeg to 3gp but you also can edit .Mp3 and .wave!

    I recommend Audacity as well. Since it's just a ringtone and not a song it doesn't have to be in stereo so make sure you choose mono for the output file.

    dbPowerAmp

    I am surprised none of you recommended dbPowerAmp. Test it and you might find it useful for sound conversion. Please note that you may have to download some codecs before the file conversion (depending on the format you want to convert to), easy task nonetheless -- the link to the codecs central is on the download page.

    As previously suggested, convert your mp3 to mono reduces the size.
    I would suggest re-encode to a bitrate of 64kps and leave it at 44.1khz, because I tried to reencoded and resample to a lower rate, then i cranked up the volume real high while playing the ringtone, the sound starts to fizzle.

    Anyways, depending on your phone, you could experiment a bit :P
